By accessing or using the services provided by FNM, LLC ("FNM," "we," "us," or "our"), including our gamified marketing platform, mobile applications, and related services (collectively, the "Platform"), you ("User," "you," or "your") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not use the Platform.
2. Eligibility
You must be at least 13 years old to use the Platform. If you are under 18, you represent that you have obtained parental or guardian consent to use the Platform. By using the Platform, you affirm that you meet these requirements.
3. Account Registration
To access certain features, you may be required to register for an account. You agree to provide accurate and complete information and to keep this information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
4. Use of the Platform
You agree to use the Platform in compliance with all applicable laws and regulations. You shall not:
-Engage in any activity that interferes with or disrupts the Platform or its servers.
-Use the Platform for any unlawful or unauthorized purpose.
-Attempt to gain unauthorized access to any part of the Platform.
5. User-Generated Content
You may have the opportunity to submit content, including but not limited to text, images, and other materials ("User Content"). By submitting User Content, you grant FNM a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such content in connection with the Platform. You represent that you have the necessary rights to grant this license.
6. Intellectual Property
All content and materials on the Platform, including but not limited to text, graphics, logos, and software, are the property of FNM or its licensors and are protected by intellectual property laws. You may not use, reproduce, or distribute any content from the Platform without our prior written permission.
7. Third-Party Services
The Platform may integrate with or provide links to third-party services, including sponsor brands and game developers. FNM is not responsible for the content, policies, or practices of these third parties. Your interactions with third-party services are governed by their respective terms and policies.
8. Receipt Validation and Location Services
The Platform may offer features that allow you to validate receipts for real-world purchases and to check in at specific locations. By using these features, you consent to the collection and use of your data as described in our Privacy Policy.
9. Sponsor Dashboard and SDK Licensing
If you are a sponsor or developer using our dashboard or SDK, additional terms may apply. Please refer to the specific agreements provided during registration or integration for more information.
10. Disclaimer of Warranties
The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied. FNM does not warrant that the Platform will be uninterrupted or error-free.
11. Limitation of Liability
To the fullest extent permitted by law, FNM shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your use of the Platform. Our total liability to you for any claims arising from the Platform is limited to the amount you have paid to FNM in the past 12 months, if any.
12. Indemnification
You agree to indemnify and hold harmless FNM and its affiliates from any claims, damages, or expenses arising from your use of the Platform or your violation of these Terms.
13. Termination
We reserve the right to suspend or terminate your access to the Platform at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users or us.
14. Dispute Resolution
Any disputes arising out of these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Boise, Idaho, and the laws of the State of Idaho shall govern these Terms.
15. Changes to Terms
We may update these Terms from time to time. We will notify you of any changes by posting the new Terms on the Platform. Your continued use of the Platform after such changes constitutes your acceptance of the new Terms.
